BY-LAWS
of the
AMERICAN MODEL AIRPORT ASSOCIATION
ARTICLE I
OFFICES
Section 1. PRINCIPAL OFFICE.
The principal office for the transaction of business of the AMERICAN MODEL AIRPORT ASSOCIATION is hereby fixed at 5525 La Deney St. City of Montclair, County of San Bernardino, and State of California. The AMERICAN MODEL AIRPORT ASSOCIATION officers are hereby granted full power and authority to change said principal office from one location to another in said County.
Section 2. OTHER OFFICES.
The AMERICAN MODEL AIRPORT ASSOCIATION officers at any place or places where the AMERICAN MODEL AIRPORT ASSOCIATION is qualified to do business may at any time establish branch or subordinate offices.
ARTICLE II
MEMBERSHIPS
Section 1. QUALIFICATIONS FOR MEMBERSHIP.
A qualified person of good moral standing in the community as defined by community standards regardless of race, creed, sex, color or national origin, having a sincere desire to be a member of the association and evidencing willingness to comply to the standards of the association.
(b) To wit: a member in good standing is defined as follows:
A member having in his or her possession a current valid A.M.A. membership and being current on all initiation fees, dues, and assessments and not being in a state of suspension or termination or having been expelled and who attends meetings on a reasonable basis, and/or participates to a degree which would indicate him or her to be an active member.
Section 2. ORGANIZATION.
The active membership shall consist exclusively of radio controlled model aircraft builders and flyers and shall be limited to one hundred twenty (120) dues paying members.
Application.
Any qualified person as defined in the By-Laws desiring membership and admission into this association shall request same from any bona fide association officer.
Admission.
Applicants for membership shall be admitted into the association with the following limitations:
eighteenth (18) birthday.)1. Senior Membership. (Defined as a dues paying member, eighteen (18) years of age or older.)
A. A membership is available as covered by the one hundred twenty (120) member limit.
B. Upon satisfactory evidence of the applicant's valid (current) membership in the 'Academy of Model Aeronautics' (or a receipt of application issued by the association Secretary-Treasurer.)
C. Upon presentation of all required fees such as: Initiation,
dues and assessments.
2. Junior Membership.
(Defined as a non-dues paying member, not having reached his
A sponsored junior (by a dues paying member- limited to one (1) at any time, or a total not to exceed three (3) in any one Calendar Year.) Sponsored junior memberships are subject to membership approval as constituted by a majority vote at any regular scheduled meeting by the membership present.A legal dependent of a dues paying member.
C. Upon satisfactory evidence of an active (valid) junior membership in the 'Academy of Model Aeronautics" (or a receipt of application as issued by the association Secretary-Treasurer.)
E. Junior members utilizing equipment normally and primarily used by a Senior Member (dues paying member) shall fall, under the existing rules of the Federal Communications commission (FCC) and as such the prime responsibility for correct operation shall be upon the owner of the transmitter used.
Section 3. VOTING RIGHTS.
Each senior member in good standing shall be entitled to cast one vote with respect to those matters submitted to the membership for action or approval. Members not in good standing shall not be entitled to cast any vote.
Section 4. DUES.
Each member shall be responsible for and pay to the Secretary-Treasurer of the Association, initiation fees, yearly dues, and/or assessments within thirty (30) days of the established due dates. Delinquency beyond this time limit subjects the member to the provisions as set forth in Section 5 (Suspension).
Section 5. SUSPENSION.
A member (senior or junior) may be suspended at the discretion of the Association officers for any violation of the following:
(1) Invalid AMA license;
(2) Violation of AMA Constitution or By-Laws;
(3) Violation of Association By-Laws.
(b) Suspension will immediately entail curtailment of all usage or participation with or on Association properties or facilities owned, rented or leased.
(c) Suspension will remain in force until the next regularly scheduled meeting of the membership, when at such time the suspended party will be given adequate time to justify his continued membership or expulsion. Should the suspended member be unable to attend the first regularly scheduled meeting, the suspension shall remain in force until the next regularly scheduled meeting of the membership. Should the suspended member fail to attend either the first or second
regularly scheduled meeting, and fail to provide just cause to one or more of the elected officers of the Association, the suspension shall be considered "no contest' and will be subject to the provisions as set forth in Section 6 (Expulsion).

Section 6. EXPULSION.
A member may be expelled from this association by a two-thirds (2/3) vote by the membership present at a regularly scheduled meeting when the member's actions or inactions are contrary to the goal of, and a detriment to, the association or when his or her actions or inactions involve a matter of suspension as covered in Section 5, or when his or her actions or inactions involve a question of moral turpitude.
Expulsion shall follow suspension as governed by a majority vote of the membership present at the meeting attended by the member in suspension. If a suspended member fails to attend the first and second meetings immediately following the suspension and fails to show "just cause" for his or her failure to attend to one or more of the Association officers, the suspension shall be considered 'no contest' and shall be voted upon as expulsion. If the suspended member can show just cause for his or her actions which are/were not in accordance with the By-Laws or flight rules - which includes a possible change of thinking by the suspended member wherein the suspended member concurs and agrees to cease and desist actions not conforming to the By-Laws or flight rules, a vote shall be taken by the membership. A suspended member-may be so justified in his or her actions that a change of By-Laws or flight rules is apparent or required - if this condition so exists, the justification shall take place as a request for amendment as outlined in the amendment paragraphs.
All suspensions and expulsions shall be acted upon by vote of the membership with one of the following actions established and recommended:
(1) Justified -- no action required.
(2) Justified -- change to Constitution, By- Laws or flight rules required.
(3) Not justified -- fine in lieu of expulsion, $50.00.
Note no. 1: All fines shall become an integral part of the treasury and utilized as such.
Note no. 2: Members, at their own discretion, (subject to approval by Executive Board) choose to do field (flying site) maintenance at the rate of $2.00 per hour in lieu of payment of fine. Work assignments, in lieu of fines, will be established by the AMERICAN MODEL AIRPORT ASSOCIATION officers (applicable for junior non dues paying members only.)
Note no. 3: Members refusing to pay a fine levied by the membership or refusing to do field, (flying site) maintenance in lieu of the fine, shall, without recourse, be expelled for a period of not less than nine (9) months in disposition of all accrued benefits shall be forfeited during such expulsion. Accrued benefits include: initiation fees, dues and assessments. At the end of such expulsion period an expelled member may become a member in good standing by reaffirming the By-Laws and flight rules and reestablishing in accordance with same.
Note no. 4: Suspension or expulsion in general can usually be considered a result of willful or deliberate violation of, or failure to comply to, By-Laws or flight rules of the Association, and in most cases where positive deliberate action cannot be established a fine should be recommended.
Note no. 5: AMERICAN MODEL AIRPORT ASSOCIATION officers shall use empathy, extreme discretion, non-discrimination and care in suspending any member and be able to justify their actions to the membership at large on a majority vote basis during a regularly scheduled meeting should it become necessary.
Section 7. MEETINGS OF MEMBERS.
Meetings of the members shall be held upon the second Sunday of the month, unless another date and time is approved by the membership.
Section 8. QUORUM.
The presence, in person, of the members entitled to cast a majority vote at any meeting shall constitute a quorum for the transaction of business.
Section 9. VOTING AT MEETINGS.
All members shall have voting rights as hereinabove provided. Votes may be taken by voice, by show of hands, or by ballot. Members shall have no right to accumulate their votes.
ARTICLE III
ASSOCIATION OFFICERS
Section 1. NUMBER AND ELECTION.
All the officers of the AMERICAN MODEL AIRPORT ASSOCIATION must be members in good standing in the AMERICAN MODEL AIRPORT ASSOCIATION.
Section 2. POWERS.
Subject to the limitations of the By-Laws as to action to be authorized or approved by the members and subject to the duties of officers as prescribed by the By-Laws, all AMERICAN MODEL AIRPORT ASSOCIATION powers shall be exercised by or under the authority of, and the business and affairs of the AMERICAN MODEL AIRPORT ASSOCIATION shall be controlled by, the AMERICAN MODEL AIRPORT ASSOCIATION officers. Without prejudice to such general powers but subject to the same limitations, it is hereby expressly declared that the officers shall have the following powers, to wit:
First: To appoint and remove all officers, agents and employees of the AMERICAN MODEL AIRPORT ASSOCIATION and to prescribe such powers and duties of the officers, agents and employees as may not be inconsistent with the By-Laws.
Second: To conduct, manage and control the affairs and business of the AMERICAN MODEL AIRPORT ASSOCIATION and to make such rules and regulations therefore not inconsistent with law or with the By-Laws, as they may deem best.
Third: To designate any place within the State of California for the holding of any membership meeting or meetings, to change the principal office of the AMERICAN MODEL AIRPORT ASSOCIATION for the transaction of its business from one location to another, in the County of San Bernardino, State of California; time to time as in their judgment they may deem best.
Fourth: To borrow money-And incur indebtedness for the purposes of the AMERICAN MODEL AIRPORT ASSOCIATION and to cause to be executed and delivered therefore in the AMERICAN MODEL AIRPORT ASSOCIATION name, promissory notes, bonds, debentures, deeds of trust, mortgages, pledges, hypothecations or other evidence of indebtedness and securities therefore.
Fifth: To manage in such manner as they may deem best, all funds and property, real and personal, received and acquired by the AMERICAN MODEL AIRPORT ASSOCIATION, and to distribute, loan or dispense the same and/or the income and profits wherefrom.
Section 3. PLACE OF MEETING.
Regular meetings of the AMERICAN MODEL AIRPORT ASSOCIATION officers shall be-held at any place within or without the State of California which has been designated from time to by resolution of the AMERICAN MODEL AIRPORT ASSOCIATION officers or by written consent of all officers of the AMERICAN MODEL AIRPORT ASSOCIATION. In the absence of such designation regular meetings shall be held at the principal office of the AMERICAN MODEL AIRPORT ASSOCIATION. Special meetings of the officers shall be held at a place so designated or at the principal office.
Section 4. REGULAR MEETINGS.
Twelve regularly scheduled meetings shall be conducted each year, one during each month of the calendar year. The regularly scheduled meetings (dates and place) shall be held at such a time and place as designated by the AMERICAN MODEL AIRPORT ASSOCIATION officers. Should the regularly scheduled meeting fall on a legal holiday, the AMERICAN MODEL AIRPORT ASSOCIATION officers shall reschedule it.
Section S. SPECIAL MEETINGS.
The Secretary at the request of the President may call special meetings of the Board of Directors for any purpose or purposes at any time by the President or if the President is absent or is unable or refuses to act, any three (3) officers may call special meetings. Such meetings may be held either in the principal office or at any place designated from time to time by the AMERICAN MODEL AIRPORT ASSOCIATION officers.
Notice of the time and place of the special meetings shall be given personally to the officers or sent to each director by mail or other form of written communication, charges prepaid, addressed to him or her at the address as shown upon the records of the AMERICAN MODEL AIRPORT ASSOCIATION. In case such notice is mailed or telegraphed it shall be deposited in the United States Mail or delivered to the telegraph company in the place in which the principal office of the AMERICAN MODEL AIRPORT ASSOCIATION is located at least forty- eight hours (48) prior to the time of the holding of said meeting. In the event such notice is delivered personally to each officer, it shall be so delivered at least twenty-four (24) hours prior to the time of the holding of said meeting.
All the transactions of any meetings of the officers, however called and noticed, or wherever held, shall be as valid as though, had at meeting duly held after regular call and notice, if a quorum be resent and if either before or after the meeting, each of the officers not present signs a written waiver of notice or a consent to holding such meeting or an approval of the minutes thereof. All such waivers, consents or approvals shall be filed with the minutes of the meeting.
Section 6. ATTENDANCE AT MEETINGS.
If an officer fails to attend three (3) consecutive meetings of the AMERICAN MODEL AIRPORT ASSOCIATION without leave of absence, this office may be declared vacant by a vote of the majority of all the remaining officers. In the event of a vacancy for any cause in the office of a officer, the remaining officers, by majority vote may elect a successor to hold office for the remaining portion of the term of the officer whose place shall be vacant, and until the election and qualification of a successor.
Section 7. QUORUM.
A majority of the authorized number of officers shall be necessary to constitute a quorum for the transaction of business. Every act or decision done or made by a majority of the officers present at a meeting duly held at which a quorum was present shall be regarded as the act of the officers of the AMERICAN MODEL AIRPORT ASSOCIATION unless a greater number be required by law or by these By-Laws.
Section 8. NOTICE OF ADJOURNMENT.
Notice of the time and place of holding an adjourned meeting need not be given to absent officers if the time and place be fixed at the adjourned meeting.
Section 9. ACTION WITHOUT MEETING.
Any action required or permitted to be taken by the AMERICAN MODEL AIRPORT ASSOCIATION officers under any provision of law or these By-Laws may be taken without a meeting of all officers of the AMERICAN MODEL AIRPORT ASSOCIATION if said officers individually or collectively consent in writing to such action. The AMERICAN MODEL AIRPORT ASSOCIATION officers shall file such written consent or consents with the minutes of the proceedings. Such action by written consent shall have the same force as a unanimous vote of such AMERICAN MODEL AIRPORT ASSOCIATION officers.
ARTICLE IV
OFFICERS
Section 1. RESPONSIBILITY.
All officers are subordinate and responsible to the AMERICAN MODEL AIRPORT ASSOCIATION members.
Section 2. NUMBER AND SELECTION.
The officers of the AMERICAN MODEL AIRPORT ASSOCIATION shall be a President, a Vice President, a Secretary and a Treasurer. The AMERICAN MODEL AIRPORT ASSOCIATION may also have such other officers as may be appointed in accordance with the provisions of this section.
Officers shall be elected by popular vote of the attending membership during the regularly scheduled meetings, each and every November of the calendar year, and shall assume office in the following meeting in the month of December of each and every calendar year. The term of office shall be for twelve (12) months.
Any member who is in good standing and has been a member of AMERICAN MODEL AIRPORT ASSOCIATION for a period of at least ninety (90) days shall be eligible for election to any office (i.e., dues paying membership).
Section 3. DUTIES OF THE PRESIDENT.
The President shall preside at all meetings of the AMERICAN MODEL AIRPORT ASSOCIATION and enforce observance of the By-Laws utilizing parliamentary procedure. The President shall decide all questions of order, offer all motions for consideration, (regularly made), non-discriminately apportion duties (as far in advance as possible), call special meetings and appoint all committees. Said officer shall perform any and all duties, which this office may require, and shall sign all vouchers or checks in conjunction with or in lieu of the Secretary, and shall be an ex-officio member of all committees.
Section 4. DUTIES OF THE VICE PRESIDENT.
The Vice President shall assume all duties of the President in his absence, and shall act as President of the AMERICAN MODEL AIRPORT ASSOCIATION officers.
Section 5. DUTIES OF THE SECRETARY.
The Secretary shall have charge of all correspondence of the AMERICAN MODEL AIRPORT ASSOCIATION, shall send written noticed to the members in good standing of the AMERICAN MODEL AIRPORT ASSOCIATION of meetings, both regular and special, shall keep a record of business transacted, shall receive and maintain copies of the minutes of the meetings of the AMERICAN MODEL AIRPORT ASSOCIATION, shall maintain a current roster containing the names of all members both Senior and Junior, with current status as to AMA membership, initiation fees, dues and assessments, and upon signature of the President, shall make all disbursements.
Section 6. DUTIES OF THE TREASURER.
The Treasurer shall have full charge of the treasury. All funds shall be duly deposited in and with a recognized bank as designated by the AMERICAN MODEL AIRPORT ASSOCIATION officers. A detailed financial report shall be read to the membership at each meeting, and a copy of said report supplied to the AMERICAN MODEL AIRPORT ASSOCIATION officers upon request.
Section 7. FIELD MARSHALL.
The Field Marshall shall be responsible for establishing
"mowing crews" and "mowing equipment maintenance crews". He/She is to ensure that the field is properly maintained and recommend improvement/changes.
Section 8. SAFETY COMMITTEE CHAIRMAN/SAFETY OFFICER.
The Safety Committee Chairman/Safety Officer shall be responsible for chairing the safety committee and ensuring existing field rules and the AMERICAN MODEL AIRPORT ASSOCIATION By-Laws are enforced. This includes processing the grievance forms and following the existing grievance procedure documented in the by-laws.
Section 9. CONTEST/EVENT
COMMITTEE CHAIRMAN.
The Contest/Event Committee Chairman shall be responsible for coordinating
and establishing, in conjunction with all the Club’s Contest Directors, a
schedule for the next contest/event season. The schedule will be decided by the
Contest Directors, and approved by the members. Section 10. Section 11. REMOVAL OF OFFICERS. Officers may be removed with or without cause at any meeting by the
affirmative vote of a majority of all the AMERICAN MODEL AIRPORT ASSOCIATION
members. Section 12. INSTALLATION OF OFFICERS. At the installation of officers, each officer shall be required to make the
following affirmation: "I do solemnly promise that I will faithfully
discharge the duties of my office to the best of my knowledge and ability". ARTICLE V AUTHORIZED LEAVE OF ABSENCE Members showing "just cause" for inability to actively participate
to a reasonable degree, as a result of commitments pertaining to their work or
livelihood shall remain members in good standing during a period to be
considered a leave of absence. All other aspects of the Constitution, By-Laws
and flight rules shall be observed. Sickness is to be considered as an
authorized leave of absence. ARTICLE VI DUES, ASSESSMENTS, ETC. Initiation fee for the Association shall be fifty dollars ($50.00), dues
shall be sixty dollars ($60.00), per calendar year, due and payable on or
before January 1 of each and every colander year. Special assessment could be
required for field maintenance, etc. Special assessments may only be made
following concurrence of at least seventy five percent (75%) of the active
senior dues paying members in good standing. ARTICLE VII ARMED FORCES PERSONNEL Armed forces personnel on active duty shall be allowed the use of the
AMERICAN MODEL AIRPORT ASSOCIATION facilities without charge or cost; however,
they must comply with the AMA rules and regulations. Special consideration
should be given to armed forces personnel returning to civilian status towards
establishing priority towards membership in the AMERICAN MODEL AIRPORT
ASSOCIATION, when additional memberships are available. ARTICLE VIII INTERPRETATION/INTENT
ARTICLE IX
AMENDMENTS TO BY-LAWS
The By-Laws may be amended by submitting, in writing, the proposed amendment to the Secretary (such a proposed amendment shall be signed by at least five (5) members in good standing.) The proposed amendment shall be read at the next regularly scheduled meeting of members, discussed and voted upon, should a nomination for such a vote be established. The only further stipulation is that at least fifteen members in good standing are present at said meeting, or proxy statements (signed) are in the hands of the Secretary or Treasurer prior to such a vote. Proxy statements shall then be considered and counted as active votes either pro or con as indicated.
ARTICLE X
PERSONAL LIABILITY AND PROPERTY INTEREST
Section 1. LIABILITY OF MEMBERS.
No member of this corporation shall be personally liable to its creditors or for any indebtedness or liability and any and all creditors shall look only to its assets for payment.
